2026 Institutional Equities Off Cycle Internship - Transactional Management Group (Paris)

DEPARTMENT PROFILE

The Institutional Equity Division (IED) is a global leader in the origination, distribution and trading of equity, equity-linked and equity-derivative securities. The Firm’s equity Sales & Trading operations provide liquidity, distribute content, and create product solutions to help our clients generate alpha. The Equity Financing Products department acts as a strategic partner to more than 800 top hedge fund managers: executing and clearing trades across asset classes, time zones, and currencies; providing financing and expertise to help manage risk and benefit from technology; and consults to help launch new funds and connect with them potential investors.

PLACEMENT AND DURATION

The Program length is six months, and you will be working under the supervision of a French qualified lawyer. Please note that the successful candidate will need to be available to start in July 2026 for a period of 6 months.

The Transactional Management Group (“TMG”) oversees the legal documentation in respect of structured products from Base prospectus to Final Terms (including distribution agreements, liquidity letters, etc).

RESPONSIBILITIES

• Providing transactional support to EMEA TMG in relation to structured products (i.e. notes, certificates or warrants) issued by a Morgan Stanley entity in relation to the following:
  • drafting and/or reviewing documentation such as Termsheet, Final Terms, Pricing Supplements and key information documents;
  • dealing with trade approvals using various systems and applications; and
  • arranging for settlement and listing of transactions.
• Drafting and/or reviewing legal documentation for bespoke trades.
• Working closely with Sales, Trading, COO, and Operations on matters relating to the structured products business.

This internship is available in our Morgan Stanley Paris office.

TRAINING PROGRAM

• You have strong legal skills that put you at ease with drafting documentation in French or English
• You have excellent communication skills, both verbal and written
• You have excellent attention to detail
• You are organised, pro-active, able to multi-task and work efficiently to tight deadlines
• You are a proven team player and can manage a wide range of responsibilities
• You are committed to excellence in your work and maintain high professional and ethical standards
• You articulate complex ideas simply and summarise them effectively
• You have an excellent academic background and fluency in English and French
